DONATION ACCEPTANCE AGREEMENT VIA BURSVERENLER.ORG

 

ARTICLE 1. Contracting Parties

Herein "donation acceptance agreement via bursverenler.org" ("Agreement") is signed and brought into force between Yücel Cultural Foundation (hereinafter referred to as "YCF"), reside in Bağdat Avenue No: 15, Keylan Business Center, Floor: 2, Kızıltoprak/KADIKÖY/İSTANBUL, and ____________________ (hereinafter referred to as "NGO"), reside in ____________________, under conditions below.

 

ARTICLE 2. Definitions and Subject of the Agreement

Donation Instruments defines payment platforms, that enables guests to donate via www.bursverenler.org web site, which can be adjudicated and updated by YCF at any time.

Day defines weekdays, unless indicated otherwise.

Service defines the online platform, that is provided for usage of NGO, by YCF, within the scope of the contract.

Online Platform defines www.bursverenler.org web site of YCF.

Parties defines YCF and NGO together.

Year defines the calendar year, unless indicated otherwise.

Subject of this agreement is entrance of NGO into the online platform (www.bursverenler.org), established by YCF, enablement of collecting donations for NGO using donation instruments via this platform, and in return, payment of the balance to NGO by YCF, after deduction of service charges, stated below.

 

ARTICLE 3. Rights and Obligations of Parties

3.1 Rights and Obligations of YCF

YCF is liable for keeping the platform, that is subject to this agreement, available and accessible, except the force majeure.

YCF has the right to use the name and the logo of NGO, and brief explanatory information about its scholarships, in the online platform and social media accounts of YCF and bursverenler. To use the name or any other information of NGO, in any document outside this platform, it is obligatory to obtain written permission of NGO.

YCF can not make statements in the name of NGO, and can not act in a way, that can be damaging for the objective, mission or values of NGO.

YCF has the right to use statistics, prepared from the data, gathered from the online platform, for public disclosure and making various broadcasts, respecting data security and confidentiality.

YCF is responsible for NGO to have right to access to platform, with custom defined user name and password, and availability to update the pages defined to usage of NGO,

3.2 Rights and Obligations of NGO

NGO approves, declares and undertakes; "Site Usage Agreement (Add-1)", which is an addendum of the agreement herein, is an inseperable part of the agreement, content of this declaration is accepted, they are going to comply with the terms and conditions, defined in the content, and otherwise enforcements, listed of Article 6, can be in question, and they are going to compensate the losses, if YCF suffers a loss, due to violation of declaration

NGO approves that, they are authorized to receive bequest, within the limits of the Charity Collection Law numbered 2860 and its regulations and they are completely entitled and in charge about usage of received bequests.

NGO is going to share data (Info About Establishment, Documents, Logos and References), requested to bring to attention of visitors, with YCF, regulaly and prior to due dates. NGO is responsible for accuracy and actuality of these data. NGO is responsible to check up on the missing and/or incorrect data, and to update them if needed, within 2 workdays, after YCF informs NGO about missing and/or incorrect data input.

NGO accepts service charges for www.bursverenler.org, compatibly with terms of payment, defined on the agreement. NGO is responsible for making the payments.

Connection between YCF and NGO can not be specified as a joint adventure, ordinary share or more of the same. NGO is responsible for potential bad intentioned usage of web site admins, appointed by NGO.

NGO accepts that, their name, logo and other data shared with explicit consent are going to be used on online platform, datas can be processed and publicized, and statistical informations, gathered from online platform, can be used by YCF, with respect to data security and confidentiality, in accordance with Article 3.1.

ARTICLE 4. Prices and Terms of Payment

Monthly usage fee of NGO is free for two years. In the following years, a monthly fee is agreed by parties reciprocally, for each year, considering mutual benefits, if the agreement is renewed.

Donations, made in the name of NGO via bursverenler.org, are transferred to official account number, declared by NGO, in 30 days, after being devolved to bank accounts of YCF. YCF commits sending bank statements, each month regularly, to NGO for checking.

Donation Background System Usage Fee and Service Charge: %96 of the outstanding balance is transferred to accounts of NGOs at www.bursverenler.org platform, after %4 of donations made on platform, is deducted as fund raising fee and service charge.

 

ARTICLE 5. Duration of Agreement

Duration of herein agreement is 2 years, starting from date of signature. Unless one of the parties terminates the agreement, notified in written, 1 (one) month before the contract end date, duration of agreement is extended for another year.

 

ARTICLE 6. Cancellation of Agreement

If any of the parties violates the liabilities, assured upon herein contract, and does not compensate the liability in question, although 30 (thirty) days passes after notice; the other party has the right to terminate the agreement and claim for compensation for losses.

 

MADDE 7. Force Majeure

If any of the conditions listed below occurs as disincentive or inhibitor of violation of a liability, it will be considered as force majeure.

Rulings, actions and transactions of relevant official authorities, that detains or precludes meeting the liabilities.

Strikes, lock-outs and avarias that precludes meeting the liabilities.

War (declared, or not), civil war, acts of terrorism.

Disasters such as earthquake, storm, flod, fire, etc.

Blockage or restriction of internet access, because of various reasons.

If a force majeure occurs, affected party notifies the other party within maximum 10 (ten) days, with documents provided from relevant authorities, and parties come to terms with each other on taking actions.

If the force majeure lasts for 30 (thirty) days, parties come together and negotiate over the continuation, suspension, cancellation or taking any other action of the agreement. If the force majeure continues for another 15 (fifteen) days, after these 30 (thirty) days, and parties can not reach a mutual understanding, one of the parties has the right to terminate the contract unilaterally, without paying any penalty. In this condition, parties will not demand for anything, prior to not-yet-applied parts of the agreement.

 

ARTICLE 8. Taxes, Pictures, Legal Fees and Expenses

Amenabilities, owed by every kind of taxes, images, fees and other legislations, caused by agreement, towards fulfillment of commitments, subject of agreement herein, belong to relevant parties.

 

ARTICLE 9. Confidentiality Obligation

Parties acknowledges and undertakes protecting every kind of confidential information and documents, obtained during getting and rendering of services, reciprocally; and not declaring them to third parties, except competent authorities, without permission of the other party.

Undermentioned cases lie outside the scope of "Confidential Information" and can not be evaluated within the scope of artice herein.

Informations, known by one of the parties, before the signing of this agreement.

Informations, developed by on the parties, independently.

Informations, provided by a third party, not liable to confidentiality obligation in terms of this type of information, within the knowledge of one of the parties.

Informations, that become public knowledge, without a failure from one of the parties.

Informations, that must be disclosed in compliance with laws, regulations, court decisions and administrative order.

Informations, made public by the party itself and shared with explicit consent of parties, allowed to be processed and shared.

Informations, known by public, without infringing the agreement herein.

 

ARTICLE 10. Settlement of Disputes

Every kind of dispute, resultant of application or interpretation of agreement herein, will be tried to be settled by negotiation. If this is not possible, turkish law will be applied; İstanbul Central Courts and İstanbul Directorates of Execution will be entitled.

 

ARTICLE 11. Changes in Agreement by Assignation

Agreement herein cannot be assigned or transferred to third parties, without reciprocal agreement of parties.

Changes and additions to agreement can only be made with written commitment of parties. Tropes are read and interpreted with the agreement.

delivered by hand by authorized signature or registrated. Addresses above are accepted as current correspondence addresses of parties, unless a change in address is acknowledged to other party, even if one of the parties changes its address.

 

ARTICLE 13. Copies of Agreement

This agreement, prepared as 13 main articles and 1 rider; done and signed in 2 (two) copies. One of the copies will be held by YCF, and the other by NGO.
